1. General Terms

1.1 These Terms & Conditions apply to the sale, design, fabrication, supply, installation, repair, replacement, and maintenance of products and services provided by Shades & Canvas.

1.2 By purchasing a product, requesting a service, approving a quotation, or proceeding with installation from Shades & Canvas, the client agrees to be bound by these Terms & Conditions.

2. Quotations and Orders

2.1 All quotations issued by Shades & Canvas are valid for 30 days unless otherwise stated in writing.

2.2 Orders are considered confirmed once the client approves the quotation, purchase order, invoice, or written agreement and pays the required deposit.

3. Payment Terms

3.1 A deposit of 50% of the total quoted price is required upon order confirmation unless otherwise agreed in writing.

3.2 The remaining balance must be paid upon delivery, before installation, or upon completion of installation, depending on the agreement stated in the quotation or invoice.

3.3 In some cases, full payment may be required before delivery, fabrication, or installation. This will be communicated and agreed upon at the time of order confirmation.

3.4 Work may be paused, delayed, or withheld where required payments have not been made.

4. Design, Fabrication, and Custom Orders

4.1 Custom products are designed and fabricated based on the client’s approved specifications, measurements, preferred materials, and intended use.

4.2 The client must ensure that all information provided for custom work is accurate, including dimensions, location, usage requirements, and any site limitations.

5. Installation

5.1 Installation timelines are subject to site readiness, material availability, weather conditions, access to the site, and any other factors that may affect safe and proper installation.

5.2 The client must ensure that the installation site is accessible, safe, and free from obstacles before the installation team arrives.

6. Warranty

6.1 Warranty terms may vary depending on the product, material, service, manufacturer’s terms, and scope of work.

6.2 Where applicable, Shades & Canvas may provide a limited warranty on workmanship for a period specified in the quotation, invoice, or written agreement.

6.3 Product warranties, where available, are subject to the manufacturer’s terms and conditions.

6.4 The warranty does not cover damage caused by:

• Misuse, mishandling, negligence, or improper use
• Unauthorized modifications or repairs
• Poor maintenance or failure to follow care guidelines
• Extreme weather conditions, including strong winds, storms, heavy rainfall, hail, flooding, or other adverse weather events
• Fire, accidents, vandalism, theft, or third-party interference
• Normal wear and tear
• Structural defects in buildings, walls, posts, or supporting surfaces not installed by Shades & Canvas

6.5 Warranty claims must be reported as soon as the issue is noticed, with photos, location details, and proof of purchase where required.

7. Maintenance Obligations

7.1 Proper maintenance is important for the durability, appearance, and performance of shade, canvas, tent, and outdoor products.

7.2 The client is responsible for regular cleaning, inspection, safe use, and timely maintenance of the installed product.

8. Cancellations and Returns

8.1 Orders may be cancelled before fabrication, procurement, or installation work begins, subject to an administrative fee.

8.2 Once materials have been purchased, fabrication has started, or installation has been scheduled, cancellation may attract additional charges.

8.3 Custom-made products are non-refundable unless proven to be defective due to workmanship or material failure covered under warranty.

9. Liability

9.1 Shades & Canvas shall not be held liable for loss, damage, injury, delay, or additional cost caused by:

• Improper use of products
• Unauthorized alterations or third-party interference
• Weak, unsafe, or unsuitable existing structures
• Adverse weather conditions
• Failure by the client to maintain the product properly
• Delayed payments or delayed site access
• Inaccurate information provided by the client

9.2 Shades & Canvas shall not be liable for indirect, incidental, or consequential losses, including business interruption, loss of income, or loss of use.
